These Terms and Conditions (“Terms”) govern your access to and use of Roomwipe’s website, services, communications, and related platforms (collectively, the “Services”).

By submitting a service request, scheduling, booking, paying for, or otherwise using Roomwipe Services, you agree to be legally bound by these Terms and our Privacy Policy.

If you do not agree, you must not use Roomwipe Services.

1. Operating Model

Roomwipe operates under a hybrid structure:

A. In-House Services (Primary Model)

Most services are performed by:

  • Roomwipe employees, or

  • Roomwipe-managed subcontractors operating under Roomwipe supervision, insurance, pricing, and service standards.

For these services, Roomwipe is the service provider.

B. Third-Party Contractor Referrals (Exception Basis)

If a requested service:

  • Falls outside Roomwipe’s licensing scope,

  • Is outside geographic coverage,

  • Requires specialty trade licensing not held by Roomwipe,

  • Or exceeds operational capacity,

Roomwipe may refer the request to an independent third-party contractor.

In those cases:

  • Roomwipe acts solely as a referral facilitator.

  • Roomwipe is not a party to the service contract.

  • Payment, warranties, and workmanship are governed solely by the contractor.

2. Eligibility

You must:

  • Be at least 18 years old,

  • Be legally capable of entering a binding agreement.

By submitting a request, you confirm these conditions are met.

3. Information Collection & Sharing

Roomwipe may collect and share the following solely for service fulfillment:

  • Full name

  • Service address

  • Phone number

  • Email address

  • Service request details

  • Photos, notes, or access instructions

Roomwipe:

  • Does not sell or rent customer data.

  • Restricts access to authorized personnel only.

  • Uses data strictly for operational and support purposes.

Removal may limit service availability.

4. Booking, Scheduling & Property Access

  • Appointment windows are estimated unless otherwise stated.

  • Customers must ensure safe, legal, and unobstructed access.

  • Utilities must be active where required.

  • Pets must be secured.

  • Access codes must be accurate.

If Roomwipe personnel arrive and cannot access the property due to customer-related issues, a service fee may apply.

Roomwipe reserves the right to:

  • Refuse or stop service if unsafe conditions exist,

  • Refuse service for undisclosed hazards,

  • Decline work outside agreed scope.

5. Payments & Billing (In-House Services)

Payment Obligation

Once Roomwipe personnel arrive and begin work, payment for time worked or agreed scope is owed in full.

Billing Structure

Services may be billed:

  • Hourly (rounded to the nearest 15 minutes), or

  • Per agreed fixed scope.

Invoices reflect actual time worked or approved adjustments.

Payment Terms

  • Payment due within 24 hours of service completion.

  • Online invoice payment required unless otherwise agreed.

Late Payment Fees:

  • $10 late fee after 24 hours without notice.

  • $25 failed payment or returned transaction fee.

  • Continued non-payment may result in collections and legal recovery.

Failure to pay constitutes breach of contract.

6. Refunds & Disputes (In-House Services)

Roomwipe does not guarantee perfection but guarantees professional effort within scope.

To qualify for review:

  • Issues must be reported within 24 hours of service completion.

  • Roomwipe must be given reasonable opportunity to inspect and correct.

Failure to report within 24 hours constitutes acceptance of work.

Refunds:

  • Are issued at Roomwipe’s discretion.

  • Are limited to the amount paid for the disputed service.

  • Are not provided for dissatisfaction outside the agreed scope.

7. Cancellations & Rescheduling

  • 24 hours’ notice required for rescheduling.

  • Same-day cancellations or no-shows may incur a $25 fee.

  • Emergency situations evaluated at Roomwipe’s discretion.

Repeated cancellations may result in service refusal.

8. Service Conduct & Liability (In-House)

Roomwipe agrees to:

  • Perform services using reasonable care.

  • Operate within agreed scope.

  • Follow general industry standards.

Roomwipe is not liable for:

  • Pre-existing damage,

  • Hidden structural issues,

  • Customer-supplied materials,

  • Normal wear and tear,

  • Improper installation done by others,

  • Undisclosed hazards,

  • Mold, pests, or hazardous materials not disclosed in advance.

Customers must disclose known risks before service.

9. Third-Party Contractor Services

When referred to an independent contractor:

  • Roomwipe is not the service provider.

  • Roomwipe is not liable for pricing, delays, damage, or workmanship.

  • All disputes must be handled directly with the contractor.

Roomwipe may assist with communication but assumes no legal responsibility for outcome.

10. Commercial Cleaning Services

Roomwipe provides commercial cleaning primarily in-house.

Commercial Client Responsibilities

Clients must:

  • Provide secure access,

  • Secure confidential or sensitive materials,

  • Disclose security procedures,

  • Disclose hazardous materials,

  • Maintain safe work conditions.

Roomwipe is not responsible for:

  • Unsecured valuables,

  • Cash, jewelry, or sensitive documents,

  • Business interruption losses,

  • Consequential financial damages.

11. Commercial Billing Terms

Unless otherwise stated:

  • Invoices due within 15 days.

  • $25 late fee may apply.

  • Continued non-payment may result in service suspension.

  • Accounts over 30 days past due may enter collections.

12. Supplies & Equipment

Unless agreed otherwise:

  • Roomwipe supplies standard cleaning tools and materials.

  • Consumables (paper towels, soaps, liners) are client responsibility.

  • Specialty chemicals must be pre-approved.

13. Limitations of Liability

To the maximum extent permitted by law:

  • Roomwipe is not liable for indirect, incidental, or consequential damages.

  • Roomwipe’s total liability is limited to the amount paid for the specific service giving rise to the claim.

  • No liability exists for lost profits, lost business, or reputational harm.

14. Indemnification

Customers agree to indemnify and hold Roomwipe harmless from claims arising from:

  • Undisclosed hazards,

  • Customer negligence,

  • Customer-provided equipment or materials,

  • Violations of law on the property.

15. Prohibited Conduct

Customers may not:

  • Misrepresent service scope,

  • Provide false information,

  • Harass staff,

  • Attempt to bypass payment systems.

Violation may result in termination of service.

16. Termination

Roomwipe may suspend or terminate services for:

  • Non-payment,

  • Abuse or unsafe conditions,

  • Repeated policy violations.

Outstanding balances remain due.

17. Governing Law & Arbitration

These Terms are governed by the laws of the State of Georgia.

All disputes shall be resolved by binding arbitration in Columbia County, Georgia.

Each party waives the right to jury trial.

18. Modifications

Roomwipe may update these Terms at any time.

Continued use of Services constitutes acceptance of revised Terms.

19. Entire Agreement

These Terms constitute the entire agreement between you and Roomwipe and supersede all prior communications or agreements.
